Good even for the non-lawyer
I read this book to acquaint myself with the basic concepts in securities regulation.The book provides coverage with an ample number of major topics, which I found fairly interesting.I have a finance background, and this book provided me with how the law perceives securities.It is also helpful in understanding what documents and requirement a company and its officers must follow to comply with securities laws in different transactions.I would recommend this book for people that do not have the time to read thick law books on securities regulation or are not aspiring lawyers.The discussion in this text is clear and sufficient to gain a basic understanding of securities laws. ... Great for those taking ASIS exams!
In this latest edition, events after 911 is depicted thus the updated book reflects new security trends and concerns after the terrifying 911. Packaging arrived in nice shrink wrapped, without any dents or scratches. A must have for those taking ASIS exams.

Strong Introduction to Loss Prevention
The book is well organized, and covers a wide breadth.I recommend this for anyone wanting a thorough overview.It is a textbook, so it is more academic than hands-on.It is also a great source of references for a wide variety of organizations and standards.

there has to be something better
i find this casebook to be very disorganized, unclear, and repetitive.there has to be a better sec reg casebook out there somewhere.

It stinks, but it is thorough
I am currently taking Securities Law and we are using this book.It is highly dense, and the authors are poor writers.They clearly know the material and understand the distinctions, but I am often frustrated that they simply do not make their points more clearly.My advice is simple: if you are required to use this text, get it, but also use the Examples & Explanations book by Alan R. Palmiter because the prose is much easier to understand.I cannot speak for the other study aids, but they may work too.The key is getting one to complement this book.I think the E & E is a good choice because securities law is easier to learn by tackling problems and the E & E book has problems and answers (the casebook has problems too, but no answers -- you get those from the prof).Good luck!

This casebook by Professors Coffee and Seligman is the gold standard for the teaching of federal securities law.It is the successor to the casebook originally by Richard Jennings and Harold Marsh, both now deceased, which was used to teach the subject to the majority of securities lawyers now in practice.It includes a careful selection of materials revealing the progression of ideas in the field in most of the subjects of importance to students receiving an introduction to the law in this area.The cases are well selected, and serve as a compendium of the meat of the matter in all the important cases in the field that are cited in briefs filed in all types of litigation in this area and which guide the transactional lawyers through the thickets.I used this text in my original law school coursework, and found it in use later as I pursued an LL.M. degree in the area at NYU.As the field has undergone some major upheaval due to the scandals involving Enron, Global Crossing and the like, it is appropriate that Coffee and Seligman be listed as sole authors on the cover, although one can still see some of the flavor of the original work by Jennings and Marsh.It is a classic. ...
