A limited liability company is a relatively recent addition to the traditional forms of companies. It has some fo the advantages of a corporation, and the tax advantages of a partnership, sole proprietorship or corporation depending on the desires of the owners. do NOT use this as a textbook
The very first sentence of the Prologue of this book contains a grammatical error (it should be "principles," not "principals") and I am sorry to say that things don't get much better.I purchased this book as a text for an Employment Law class and it was terrible; I quit using it halfway through the course and recommended the instructor find another text.The author seems to think he's the most credible person in the world but, as someone who is also a human resources practitioner, I can assert from experience that many of his opinions (several of which are presented as "facts") are wrong.He clearly doesn't even understand what the field of human resources IS, and in many cases I found his tone very offensive. Hodgepodge of mismatched topics
Sovereign seems to skip around often in a half-hearted effort at being comprehensive.The cases are not very recent, despite the publication date, and the book has a definite lack of flow.It is almost as if theauthor threw together several mismatched segments and forgot to edit it forcomprehension and cohesiveness.

Adequate on the law; suffers from poor editing
I have to use this book as the text for a class I teach in Employment Law (i.e., non-collective-bargaining law) to students matriculating to a Master of Science Degree in Human Resources.The text adequately surveys the law, but suffers from terrible proofing and editing; it also needs an update, because the 1994 edition obviously was not written any later than early 1993, based on the omission of certain important U.S. Supreme Court cases from 1994 and since.The book also suffers from an extremely strong pro-management tone; a more balanced approach would serve the untutored reader better.There are better books, such as the ABA Guide, which I commend to potential readers of this book. ... I passed both the CLEP BL1 and Dantes BL2 by studying this resource. My scores on both were 71. You should not need any other materials to supplement, but make sure you know the content well. Great study aid!
A agree with the previous comment, this book does have a strong MBCA focus but it does frequently reference Delaware law as well as occasionally some other states. This is an excellent study aid, I used to prepare for my corporations exam, but I wish I had been more diligent about reading it throughout the year as we were studying various subjects, no doubt my class would have made much more sense. Corporations has thus far been the most difficult law school course I"ve taken (partly due to my prof.) and this book was a life-saver. My only advice is not to wait to the last minute. Yes this book is a great summary of the course, but it's still very dense and nearly 700 pages long. It will take a good while to go through if you're really reading, outlining and trying to learn the material. I spent nearly all day for three full days just getting through this book. It was well worth the effort, but if I had to do it all over again, I would have kept up with the book during the course or started prepping a few weeks prior.

Solid Book, but with MBCA Focus
I write mainly to note that the book focuses almost exclusively on the Model Business Corporation Act, with only occasional references to Deleware or other state law.If your course has a similar focus, then this is a solid book that progresses well and lets you test you knowledge along the way.But if your class, like mine, focuses mainly on Deleware law, this book will prove significantly less useful.The book will often state something generic like, Some states allow X and others do not. A splendid piece of work!It is timely and up-to-date with all the most recent & important technological law issues, including the Internet.It contains sophisticated analysis, but in an easy-to-read style.I particularly liked how the Internet is treated in the context of associatedtechnology issues, rather than segregated as a separate unrelated universe. I bought this book because it was the most recent publication purporting to explain technology law.Although I thought the price was a little high, I sure got more than my money's worth.This book really covers the mostimportant and interesting topics in technology law, and it does soextremely well.Biotech, Internet patents, privacy, obscenity, copyrights,trade secrets, click-wraps, domain names, design protection, strategies forcomputer programs, the Microsoft Antitrust case-you name it and this bookhas got it.The book also deals with international matters, such as theWTO, and international strategic considerations.The court case examplesare well selected, and the editing is superb.They are not to short to betrivial, but not to long either.I also visited the Web site mentioned onthe back cover.It already has a bunch of helpful updates, including theNapster and DVD encryption (DeCSS) debates, among many others.This reallyis a great book.I recommend it highly. ... Better than most
The Redlich hornbook is a lot shorter and easier to read, but unfortunately is last updated in 1999.Until it is current, these are the best.

Disappointed
Normally, I recommend Examples & Explanation series over any of the other commerical outlines out there. I was very disappointed with both Constitutional Law books however. The examples are unhelpful, especially when a lot of the answers depend on material you won't learn for several chapters! Some of the text is useful but much of it is the authors biased view of what cases mean or should mean. This isn't helpful if you are not taking the class from them! A Must Buy for Constitutional Law Students
This book is the best study guide for Constitutional Law that I have read. It is written in narrative form, as opposed to outline form.Theexplanations of cases are clear and concise and reflect the nuances of thelenthy cases in this area where single-paragraph statements in outlinescannot.More importantly, the authors are well regarded constitutional lawprofessors whose evaluations of the cases can be trusted to be accurate aswell as even-handed. ...
