Just forms, which can be obtained for free
This book is horrible.First it focuses on incorporating in Delaware, and gives you most of the necessary forms for that state as well as basic forms 40 other states (no explanation why 9 states were excluded).These formsand instructions are all downloadable from the states' Web sites anyway, sothis book is pretty much useless. Terse but useful book, for comparing incorporation states.
This book indeed concentrates on Delaware, but does offer incorporation procedures and fees for every state in the USA (as far as I could see, anyway). It's entirely adequate, if extremely lacking in the sort ofexplanatory babble that one might desire from such a book. The Title should end with "In Delaware"
The book is very informative and helpful, and gives the reader a goodbackground on what is required to create a corporation.The weakness ofthe book is that it focuses on creating a corporation in the State ofDelaware.And does not warn the reader of this until they begin readingthe book.All the forms and information provided relate to creating acorporation in Delaware.If that is the objective of the reader, then thisis a very useful book.If one is planning on creating a corporation inanother state then this book may not be very useful. ... Except for people who have been doing this for years or who have worked as General Counsel for the NLRB, anyone who practices before the NLRB absolutely must have this book. Labor law is a completely different universe, and your training as a student or lawyer has almost certainly done little to prepare you for this kind of work. Small Business Start-up Kit
It is well written and easy to understand.Not a lot of legal jargon that you have to wade through, but legal nevertheless. I will continue to use it for a reference.
Great book
This book saved me a lot of money by allowing me to form my own one-owner California corporation.I liked the fact that it explained why it wasn't recommending certain things so that you could decide whether it was worth it to you or not.

Interested but unpersuaded.
Mr. Epstein makes several fantastic points in this analysis of the efficiency and usefulness of civil rights laws.Specifically, his historical account of the misinterpretation of Title VII and his differentiation between racist hiring practices versus mandatory quota systems were solid points.However, I disagreed with him due to his relative indifference to the poor income distribution which could be caused by overt, legal discrimination.The "contract at will" approach that he espouses does not adequately address these issues, and I think historically we have seen that in situations where one race, sex etc is blatantly discriminated against, they do not fare quite as equally as Epstein predicts. Privatizing Discrimination
Richard Epstein has a gift for making the outrageous seem plausible. In this book, he argues that the law should permit private corporations to fire people because they're black or refuse to serve them because they're Jewish. To be fair, he has no objection to "quotas" or "reverse discrimination" either, as long as these are instruments of private actors. In short, Epstein would repeal the Civil Rights Act, at least as it applies to the private sector. Vintage Epstein
Epstein, as usual, offers a cogent and persuasive argument for libertarian principles.His theory of "rational discrimination," lucidly explained in this book, has provoked responses--and at least somechanges--in the writings of more mainstream commentators on the subjectsuch as Posner and Donohue. Like many scholars, Epstein is just a bit toosold on his own philosophy; at times he seems genuinely unable to believeanyone would disagree with him.Despite this minor flaw, the book isgreat, it offers a well-written presentation of an unorthodox, yet ratherconvincing philosophy. ... Does what it promises, nothing more
If you're considering buying this book, then you probably already know what a noncompetition agreement is, what a nondisclosure is, and what a nonsolicitation agreement is. You're probably already seen a couple of boilerplate examples of them.
An eye opener on noncompete agreements.
Before reading this book, I did not know that noncompete agreements have limited enforceability in the state of Texas! This changed my whole perspective on what it means to sign a noncompete agreement whether you are an employer or an employee. When I was an employee for a Texas corporation, I passed up a couple of business opportunites (later as a small business owner) because I misunderstood the noncompete agreement I had signed and didn't realize that it was not enforceable! Now as a small business owner, I don't want to make the same mistake the other way and think I am protected from people stealing my ideas when I am not. So I started reading this book and understanding what you are trying to accomplish with such an agreement and the way to accomplish it through agreements that are enforceable. In cases where a noncompete agreement is not the right tool, there are nondisclosure and nonsolicitation agreements. The enforceability always seems to vary depending on whether an employee or an independent contractor signs it. Excelent
