slow delivery, broken and dirty book!
The seller sold me a broken and dirty book which was claimed as a new one through a very slow shipping method.

An excellent book of Business Law
I bought this book a week ago. I am a foreign-educated lawyer and I havedecided to compare Business Law of my country with Business Law in USA(learned at the US colleges and universities). I was pleasently suprisedand also very satisfied with this buy. I appreciate very much the completecoverage of business law topics - especially integration of ethics, socialresponsibility, economics, historic issues into the presentation ofbusiness law topics as well as international topics. The book is writtenusing clear language without problems of understanding as well as fornon-native English readers.It was a perfect idea to include TOTALAWCD-ROM which provides access to 30 updated acts and statutes. I appreciateit. I would say the book worth its price and I highly recommend it toeverybody who is in any connection with business law. Well Told Story About An Intriguing Subject But Analysis Could Be Better
Eat What You Kill:The Fall of a Wall Street Lawyer is the story of John Gellene, the only attorney to ever go to jail for making an incomplete disclosure of "connections" to creditors and parties in a bankruptcy case.While it is clear that Gellene committed an ethical lapse, the fact that he was prosecuted, convicted and served time is truly surprising. Others have failed to disclose much more and have suffered much lighter consequences.As a result, the question of why this particular case resulted in a prison sentence rather than a slap on the wrist is really interesting, particularly to lawyers.
Spellbinding and hugely educational
Hats off to Professor Regan for his prodigious research and painstaking, vivid recreation of the saga of a prominent lawyer's startling rise and fall --an all-the-more remarkable achievement given Gellene's refusal to cooperate in this project. This is an amazing look-behind-the-curtain as to: how large law partnerships reward and penalize their producers and non-producers; how complicated bankruptcy negotiations unfold; how investment bankers and vulture investors exploit weakened corporations; how a brilliant professional succumbed under pressure to career-ending ethical blunders; and much more. An extremely valuable reading experience for practioners and students of law and business that deserves to be a best-seller.

Not comprehensive
I purchased this book to help me in the incorporporation process of a C-corp, and must say that while it does provide a lot of information, it's far from being sufficient in taking you step by step through the process.
Does What an Attorney Does For LOTS Less Money
If you go to an attorney to get him to set up a corporation, he will ask you a bunch of questions, write down the answers and get his secretary or paralegal to type these answers into their standard corporation form on their word processor. She will then press the print button and you get billed for a thousand dollars or so.

In what generally can be categorized as unreadable, dense, unorganized and without clear themes, Professor Burton's textbook for law students is a clear aberration.Professor Burton presents contract law in a clearoutline fashion, divided into different and inciteful principles.Caseswithin each principle clearly present individual "trees" and inthe end, the reader comes out with a very clear and workable picture of the"forest."Professor Burton does not "hide the ball" inthe form of ongoing, mindless and unreadable "Notes andQuestions." negative

Very specialized, but necessary background.Well written.
Since this is a legal casebook, this book is targeted for lawyers who want background on corporate acquisitions.It is terrific for this.Great and relevant cases with very good write-ups.Plus it has some very nice introductory material on the role of lawyers in adding value to the acquisition process and offers a decent summary of the principles of corporate finance. Those who know choose this book

A terrific evaluation of regulations that affect the value of your investments more than you know
You can tell from the use of the debacle in the title that the authors evaluate the business effects of the Sarbanes-Oxley (SOX) regulations negatively.Their arguments are interesting and convincing.One of the great things about our system of government is that we can revisit excesses of the past and fix them over time.Butler and Ribstein take us through the climate that led to the enactment of this set of regulation and that was an over reaction to some large business failures.
