The BEST book I've found too!
I borrowed an older version of this book from the library and had to buy it. This is THE best book on corporate minutes I hve ever read...and I have read many! It is very specific. It has all the forms in print and on disk. It not only tells you how to fill in the forms but why! If you run a small corporation and don't want to pay a lawyer to do all you minutes, this book is a must!

Uncommon Honesty
Stracher debunks the lies told about 'big firm' practice throughout the whole of academia: namely, that the work is compensated at such a high rate because it is very intricate and demands the most talented lawyers in the field.Hopeful students are sacrificing their personal desires and passions on a daily basis in order to pursue this fabrication of a dream, and Stracher proves that there is no magical fulfillment waiting once the attractive offer of employment at a large, respected law firm is accepted.The illusion of nobility and purpose fades away, replaced by endless hours searching through thousands of documents in order to use the technical letter of the law in any way possible to advance nonsensical arguments.
A wooden swivel chair? Ouch! Bad for your back.
I was expecting a Tale Of Greed, Sex, Lies, And The Pursuit Of A Swivel Chair, and all I got was this lousy T-shirt. My thoughts on the book are simple. Please, do not mention [Stracher] your alma-mater throughout your debut, and then do it injustice by giving it a weak gramatical assesment. The timeline through out the 230 page (dripping wet) was blurry and at times, rushed.

I read this book for a book review in one of my pre-law classes, and I thoroughly enjoyed it. Although I am an ASPIRING law student, the author appeared to have a pretty broad understanding about law school as he references law school throughout the book, relative to the context of the current point of discussion. For example, he always reminisced about his days in moot court and drew a comparison between this and his days as a legal analyst (junior associate), working for a famed corporate law firm, whose sole purpose was to read through a convoluted mess of papers and write a brief on the said papers which would eventually be radically modified by the associates and partners. (Oh, and did I mention that by the end of the book, Stracher has become a connoisseur for virutally every kind of takeout food?) This may occur as rather depressing, but do you really think that Stracher was actually depressed (what, with earning an $85,000 salary? Didn't think so). I have to admit, Stracher paints a relatively undesirable image of the law profession, a profession which doesn't seem very appealing to a reader who doesn't watch shows like "Law and Order" and doesn't read any John Grisham books. These books seem more action packed; Stracher's book, on the other hand, refers to the self-indulgent and selfish side of lawyers. (You know, the type that bill the client for everything including bathroom visits) Nevertheless, a pretty straight forward book. A MUST READ for anyone who has even a remote interest in attending law school and subsequently practicing law. I would not advise anyone who is already practicing law to read this as the piece might occur as a mere redundancy to their job. (A partner working at a firm, who makes a seven digit salary, might find the piece rather amusing, on the other hand i.e. Perhaps they can poke fun at the "little guys" in the field that only make "peanuts") ... it follows the book exactly, it has great rule statements, and it's fantastic for picking out points for outlines or just for class when you're in a hurry or just want to have things stated in black and white! it's one of the best law supplement purchases i have ever made :) ... Read more

CLASSICAL BOOK

Big Waste!
Don't buy this book unless you like fiction.And bad fiction at that.This book contains absolutely no analysis (like all of this author's writings).

A classic of the field
Easterbrook and Fischel collected a series of law review articles into the classic text on the contractarian theory of corporate law. During the 1980s, E&F were two of the corporate law academy's enfants terribles. Their articles were provocative, yet insightful. They raised a lot of hackles, yet did ground-breaking work. Both E&F have gone on to bigger and better things. Easterbrook is now a judge on the US 7th Circuit. Fischel is dean of the UChicago law school. "The Economic Structure ..." stands as their legacy for corporate law.Read more

excellent guidebook to corporation issues and how-to
I purchased this book as a research tool before incorporating my business as a California C corp without any outside assistance last year.This was all I needed and used.
How to Form Your Own California Corporation (9th Ed)
Good examples.Fairly comprehensive.Good discussion on the advantages and disadvantages of forming a California corporation.The Corporate Tax section has some good pointers.Good writing style! It flows.But thediskette has only a fraction of the business and corporation related formscompared to "Small Busines Kit for Dummies".Overall, Irecommend this book for a new commer.Well worth the money. ... Excellent Resource
Considering how dry the subject material is, I was pleasantly surprised to find that this book is not only a great resource, but quite easily readable as well.I bought the book a while ago, kept staring at it, and just dreaded even starting.But I was needlessly avoiding it, as the material is presented in a easily understandable manner (even a bit of humor from time to time, if you keep in mind we are talking about lawyers writing this...).Highly recommended, particularly with regards to tips on the differences in stock classifications and way that financiers can take advantage of you if you don't understand completely the differences.

This book is ok. It's written in a very boring way.I found it just ok and for me it is a refresher since I had this in law school. I do not think it's the best book out there on the subject. And the first one I brought fell apart, but I called the publisher directly and they shipped me another; though I suspect they didn't believe me. LJ Reboh

Very detailed instructions on "How-To" create your Corp.
For the already somewhat "Business Literate" the Essential Corporation Handbook provide most of the details needed to setup your corporation, initial meetings you must hold and formalities you must adhere to. A very handy reference used often in the early days of forming my corporation. Displays sample of most of the documents you will be dealing with early on. I would have liked to see more detail/advise on how to determine the number of shares to authorize/issue which is I think is a key element or creating a corporation. ... Read more
