This got us started on the road to our new biz, but what it lacked was real help filling out the State forms.Nolo has another book that does just that (and I recommend it if you are really looking for help with forms).If you are still in the decision making process as to which type of business you want to have (e.g. partnership, LLC, corporation types) and what it takes to run an LLC, this is one to keep on your shelf.My favorite part of this book, Nolo's Quick LLC, is a great chart delineating the differences between different types of businesses.

This book and the accompaning book entitled "Form your LLC" are the best books that I have read on the subject. I was able to put an LLC together, run it by my attorney, and using the info for filing, set up my own LLC.Especially good are the suggestions for finding an attorney and tax man that will help you stay out of trouble.I recommend these books to anyone looking to set up an LLC.The publisher, NOLO PRESS, does a good job on all sorts of legal self help books.

Not a fan of the business book since I've found many of them so boring. I got this book based on the recommendation on BusinessWeek (I'm a fan of this magazine) and am not disappointed. It's well-written, easy to understand. The writer seems to have all the details nailed down and have a very entertain-able writing style. Almost like reading a very good novel except that this is true, which is very rare when it comes to business book. You will finish it in no time. Unputdownable.

While there was a great amount of greed that contributed to Enron's downward spiral (illegal investment vehicles, ridiculous executive salaries and corporate perk largesse), what makes this different from the cornball `big bad greedy company causes its own downfall' tagline, though, is the book's thesis that business machismo caused Enron's collapse. Note the Enron culture of landing big deals, particularly in new industries and tertiary markets where Enron could be viewed as a trailblazer. Enron loved landing front-page news of its deals; what it failed to do was to see them through and ensure they financially contributed to the company's well-being.As well, during the Jeff Skilling era, there was a constant and unhealthy fixation with Enron's stock price. Enron's corporate performance was directly pegged to the stock price; Enron executives begged, borrowed, and stole to ensure rosy financial statements and a love-in with Wall Street bankers and analysts. Never mind that Enron was bogged down with loser, capital-draining businesses (Broadband, Enron International) that were causing liquidity problems even years before Enron declared bankruptcy. As long as Enron was making deals and the stock price was high, everything was sunny.

This book contains a great deal of ready to use forms for your corporate records on many aspects of business operations but be careful if you are looking for information on minutes of first meeting. The book says not to worry if you don't have organizational minutes; however, such important resolutions as corporate seal or principal office are missing.

This is a great book to own if you have or are thinking of starting an LLC. I've used many of the forms. The layout of the book is well-organized. Forms are easy to find on the CD. The tips in the book are very useful. I reference this book often. Highly recommended.

This book provided me with the essential information an LLC owner needs to avoid trouble with the IRS and the courts. This book contains a lot of practicle information, useful forms and many real life examples. It covers meeting minutes preparation, record keeping and the updated Federal 2003 Tax Act. This is a must book for any LLC owner!

Generally I have to say I was a little disappointed with this book. To be fair it lives up to its claims that it will basically help you run LLC meetings and provides forms for most basic LLC functions EXCEPT creating one.It provides no business advice and no tax advice to help with serious beginning operation issues. I was hoping for a book that would offer advice and successful strategies for managing money in the LLC and discuss tax strategies and so on. Advice, that would help me operate an LLC with the legal documents to back up the advice. That is not what this book contains.Read more

Despite Mr. Moeller's "brand-name appeal", I must confess I found this book disappointing. The title promises too much perhaps; how can mere 300 pages cover the matter for a practitioner? Written in an informal style, it paints on a broad canvas -- the kind of material that would do well for an after dinner-talk for auditors, but most definitely lacks depth and specificity. It could be useful for students or business managers, but is unlikely to help a professional auditor much.

A agree with the previous comment, this book does have a strong MBCA focus but it does frequently reference Delaware law as well as occasionally some other states. This is an excellent study aid, I used to prepare for my corporations exam, but I wish I had been more diligent about reading it throughout the year as we were studying various subjects, no doubt my class would have made much more sense. Corporations has thus far been the most difficult law school course I"ve taken (partly due to my prof.) and this book was a life-saver. My only advice is not to wait to the last minute. Yes this book is a great summary of the course, but it's still very dense and nearly 700 pages long. It will take a good while to go through if you're really reading, outlining and trying to learn the material. I spent nearly all day for three full days just getting through this book. It was well worth the effort, but if I had to do it all over again, I would have kept up with the book during the course or started prepping a few weeks prior.

I write mainly to note that the book focuses almost exclusively on the Model Business Corporation Act, with only occasional references to Deleware or other state law.If your course has a similar focus, then this is a solid book that progresses well and lets you test you knowledge along the way.But if your class, like mine, focuses mainly on Deleware law, this book will prove significantly less useful.The book will often state something generic like, Some states allow X and others do not. This book had a lot of helpful facts about LLCs, but no guidance really in forming one, or whether you should form an LLC or corporation. The state-by-state appendix of laws and contact information hadn't been updated since 1997. The sample operating agreement was not on the disk, so you couldn't tailor it and use it for your company.
