Far too general to be of value
Read this one a year ago and found it to be very non specific in the elements necessary to gain compliance.Now after three SOX engagements and having to deal with the intricacies of 404, this book stands as a poor introduction to the enormity of the task to follow.
Poor Information value
I am writing a paper about SOA and read different books about it. In comparison to other books the Manager's Guide by Scott Green gives poor information about the SOA itself and talks about risks and controls most of the companies have realized centuries ago. In addition there are absurd comparisons to foreign laws, which maintain uselessness (for example a german law). I guess Scott Green has never been to Germany and doesn't know anything about Corporate Governance in Europe. I have traveled through Europe and found much better quality in leadership there and articles of most famous business magazins affirm my opinion.

Great Casebook
In comparison to the other casebooks I've been forced to read this year as a 1L, this casebook is probably the best written.Instead of just placing emphasis on the cases and the rules to glean from them, it also highlights key principles and strategies to use as a lawyer in the future(termed lawyering by the authors).I must admit that taking Nathan Crystal's contract class obviously helps in the understanding of the book, but it's a good regardless.

informative evaluation of a business dominated culture
A very good evaluation how business dominates govenments, now and in the past. It illustrates how everyone must be vigilent if an individual is to be of any importance in any society.The informed reader will find the book somewhat redundant, because the author tends repeat examples after he has clearly made his point.

Can't laugh away world spinning out of control
While some of the material here is not unique to Hartmann, it's the sort of thing you don't read out in the open.

Excellent book for small business deductions!
This book is absolutely terrific (as are most NOLO books).the author details what is deductable for the different forms of businesses, what records are required, how to record those records and specifics for all the major topics of deductable expenses.All in all if you walked in to see an accountant day one of starting out your business he should just hand you this book have you read and then answer any questions that you need further clarification on.This is a great reference if you are unsure how a specific deduction works and a very quick and easy read.This should be on every business owners shelf!

Seething Chaos Reduced to a Haiku
This book is THE key to aceing securities.All the E&E's are outstanding, but this is really a gem.Somehow, Palmiter has reduced the seething chaos of securties law to a virtual haiku of brevity and clarity.I had no prior background in finance but it got me an A.I used this book, Ratner's Nutshell, the textbook, and an outline I inherited from a graduating 3L.The textbook was terrible.The Nutshell was ok, but this book made it superfluous.And, as i read the outline, I came to realize that it was actually abstracted and condensed from this book.This subject could be taught from this book alone.Do yourself a favor and spend the money, it will save you time.

Very, very helpful
I just reviewed the Aspen textbook on Securities Law by Cox, et al., where I noted that if you must use that textbook, you should also have a study aid.This is the study aid I chose, and it is a lifesaver.Securities law is a tough, statutory-heavy subject.This study aid is really helpful because it explains the poorly written SEC statutes with ease.It is somewhat dense because securities law is technical; however, it is also clear, which is why it is valuable.Like the other E & E books, it offers problems & answers.This is another valuable feature to this book -- working through problems is a great way to learn the material.I recommend this study aid highly. ... good book, but needs further improvement
It is very clear and accurate in explaining the rules. It is not vey clear in certain chapters like Alternative Minimum Tax, or quantifying, even approximately, who can pass the trading activity test. Great Book for Learning About the Taxation of Investments

popular ... but why?
After completing my first year of law school, I really wonder why so many professors use this textbook.More than half the people I spoke with in my class thought the casebook's usability was poor or worse.
Not bad...
This is probably one of the easier to understand case books I have read.It is incredibly dull, but it covers all the concepts well and includes some useful graphics (as well as some pointless ones).It's certainly worth its cost.
